Summary

A group of companies involved in mortgage lending arranged their business in such a way that, while one company commissioned mortgage valuations, the actual mortgage loans were made by a subsidiary of that company. Following the collapse of the holding company, the subsidiary brought a negligence action against the defendant valuers in respect of a particular mortgage valuation. It was held that the valuers owed a duty of care in tort to the subsidiary, even though they were unaware of its existence at the time they carried out the valuation.
