The agent took instructions to find a purchaser of the defendants' garage business, including freehold property, fixtures, fittings and equipment. It was agreed that if the agent got a price of £85,000, anything over that would be the commission. The agent introduced a purchaser who eventually purchased the business, not by buying the assets of the business but by buying the defendants' shares and thus acquiring the company. In the view of the judge, the commission agreement was wide enough to cover the sale of shares, at least in the case where the price of shares was calculated as it was.
