Summary

Robertson were proceeding under the terms of a letter of intent that provided that they would be reimbursed 'all direct costs and directly incurred losses'. Robertson interpreted this provision as entitling them to recover head office overheads and profit. Amey-Miller disagreed.

On an interpretation of the relevant clauses and of the letter of intent as a whole the court concluded that the letter of intent could not have been intended to limit Robertson's recovery only to reimbursement of its outlays.
