Summary

Where a freeholder had agreed to build a factory and a party had agreed to take a lease of that factory, and after the lease had begun the freeholder had assigned the reversion to an assignee, the lessee was not entitled to set off a claim for damages against the original freeholder, for defective construction of the building, against post-assignment rent due to the assignee.
