Commercial property – landlord and tenant – termination of lease – service of termination notice – requirement to serve notice at a company’s registered office – whether valid service of termination notice had been effected on the tenant
Summary

The lease of a shop gave the landlord an option to determine the lease on a specified date by giving the tenant not less than six months' prior written notice. The lease stated that where the tenant was a company, any notices should be sent to its registered office. The tenant was a limited company but the landlord served the notice on the tenant at the premises and not at the registered office. Although the notice had actually been received by the tenant, this was not valid service, since the provision in the lease for service at a company's registered office was mandatory.
